Introduction
Welcome to FJCode OÜ, a company registered in Estonia under registration number 16993109 with its registered address at Saagi 4D, Tallinn, Estonia, 10916 and operate office at Viru väljak 2, 10111 Tallinn, Estonia (“we,” “us,” or “our”). These Terms & Conditions (“Terms”) govern your use of our services, software, and website, as well as any business relationship you engage in with FJCode OÜ. By accessing or using our products and services, you agree to comply with these Terms.

Scope of Services
FJCode OÜ provides IT development services, including but not limited to software development, web and mobile applications, IT consulting, system integration, and other IT-related services (collectively referred to as “Services”).
If you engage us for custom software development, the specific scope of the project, including deliverables, deadlines, and payment terms, will be detailed in a separate written agreement or project specification, which may be incorporated into these Terms by reference.
Intellectual Property
Ownership
Unless otherwise agreed in writing, all intellectual property rights in the software, services, and products provided by FJCode OÜ, including but not limited to source code, design, and content, shall remain the property of FJCode OÜ. Upon payment in full, we may transfer ownership of specific deliverables as agreed upon in a written contract.
Licensing
Subject to your compliance with these Terms, we grant you a non-exclusive, non-transferable, and limited license to use the software or products delivered to you. This license does not grant you the right to resell, distribute, or sublicense the software unless explicitly stated in writing.
Client Data
You retain ownership of all intellectual property rights to your data that you provide to us in connection with our Services. By submitting data to us, you grant us the right to use, store, and process that data solely for the purpose of providing our Services.

Payment Terms
Invoices and Payments
All services provided by FJCode OÜ are subject to the fees detailed in the agreement or project specification. Unless otherwise agreed, invoices are issued upon project milestones or completion, and payment must be made within 14 days from the date of invoice.
Late Payments
Failure to make timely payments may result in suspension of services or additional late fees. We reserve the right to charge interest on overdue amounts at the statutory rate under Estonian law.
Taxes
All fees and charges are exclusive of any applicable taxes, levies, or duties, including Value Added Tax (VAT), unless stated otherwise. You are responsible for the payment of such taxes.
Confidentiality
Each party agrees to keep confidential any non-public, proprietary information disclosed by the other party in connection with the Services (“Confidential Information”). Confidential Information shall not be disclosed to any third party without the prior written consent of the disclosing party, except as required by law.
Confidential Information does not include information that (i) is publicly available; (ii) was known to the receiving party prior to disclosure; (iii) is independently developed by the receiving party; or (iv) is lawfully obtained from a third party.
Termination
Termination by Either Party
Either party may terminate the agreement at any time upon giving 30 days’ written notice to the other party. Termination does not affect any rights or obligations that have accrued up to the date of termination, including payment obligations.
Termination for Breach
We may terminate the agreement or suspend services immediately if you fail to comply with these Terms or any agreement, including failure to make payments when due. In such cases, you remain liable for all fees and costs incurred prior to termination.
Effects of Termination
Upon termination of services, we will cease providing the Services, and any outstanding payments will become immediately due. You will also be required to cease using any software or materials provided by us unless otherwise agreed.
Warranties and Disclaimers
Warranties
We warrant that the Services will be provided in a professional and workmanlike manner, consistent with industry standards. However, we do not warrant that the Services will be uninterrupted, error-free, or meet your specific needs unless explicitly agreed.
Disclaimers
Except as expressly stated in these Terms, all Services are provided “as is” and “as available” without any express or implied warranties, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee the performance or results of any software or services provided.
Limitation of Liability
To the fullest extent permitted by law, FJCode OÜ shall not be liable for any indirect, incidental, special, or consequential damages, including but not limited to lost profits, lost revenue, or business interruption, arising out of or in connection with the use of our Services. Our total liability to you for any damages arising from the Services will not exceed the total fees paid by you for the specific Service that gave rise to the claim.
Governing Law and Jurisdiction
These Terms and any agreement arising from them shall be governed by and construed in accordance with the laws of Estonia. Any disputes arising out of or relating to these Terms or our Services shall be subject to the exclusive jurisdiction of the courts of Estonia.
Amendments
We may amend these Terms from time to time by posting updated terms on our website. The updated Terms will become effective upon posting. It is your responsibility to review these Terms periodically. Continued use of our Services after any amendments signifies your acceptance of the revised Terms.
